In 2017, Art Of Vermont will be looking to transition into a cooperative model. Artists who are currently exhibiting in the gallery will be given the opportunity to become members of the newly formed co-op under one of the options described below which will be filled on a first come first serve basis.
Art Of Vermont is currently organized as a single member LLC. Reorganization into a co-op model will require repayment of the net capital account existing on January 1, 2017 in exchange for all assets fixtures and inventory existing on January 1, 2017. The existing capital balance as of January 1, 2017 will be amortized over a three-year period; payments will be made in equal installments on a quarterly basis. Full financial disclosure will be made available to anyone considering co-op membership upon reaching the minimum required membership level.
Artists interested in becoming a member are being asked to submit a Letter Of Intent (LOI) form below no later than December 15, 2016. Membership slots will be filled on a first come first serve basis. In the event that all of the managing member slots are filled prior to December 10, any subsequent letters received will be allocated to the general member level.
If all member slots are not filled by December 15, a general call to members may be put out to artists not currently exhibiting in the gallery. Any non Art Of Vermont artist submitting a LOI will be required to complete an artist application and be subject to a jury consisting of those artists who have submitted a LOI as a managing member.
Managing Member – Minimum Required: 5 to 7
Managing members will assume the responsibility for managing critical aspects of the business including but not limited to: staffing, jurying, gallery display, inventory, marketing, and bookkeeping. Managing members will be required to attend monthly manager meetings during which all areas of the operation will be reviewed. Each managing member will be required to oversee one aspect of the operations listed above, and to report to the management team on a monthly basis.

In addition to the management responsibilities listed above, Managing Members will be responsible for the following:
General Members – Minimum Required: 10 to 12
General Members will not participate in the management of the gallery, but will be required to attend periodic training and information meetings in order to effectively fulfill the staffing requirement.
General Membership Terms
Artists currently exhibiting at Art Of Vermont who are not interested in becoming members may continue to display and sell their work in the gallery as a guest artist.
Artists wishing to display their work as a guest artist will be subject to approval by the newly formed management team, and will be subject to a minimum annual fee of $100, which will be due and payable upfront upon acceptance by the jury, and annually on January 1 thereafter. Guest artists will pay a consignment rate of 50% of sales, offset by the annual $100 fee; the first $200 of sales in any year will be paid to the artist at a 100% rate to offset the annual fee, all sales for the remainder of the year will be paid out net of the 50% consignment rate. Guest artists who are members of The Vermont Hand Crafters will not be subject to the annual fee.
Artists not exhibiting their work in the gallery as of December 15 will be required to submit an application and go through a jury process to ensure work is consistent with the gallery’s standards and overall mix of mediums.
